2. Service Agreement

Before starting a project, we may provide the client with a proposal, quotation, invoice, or written scope of work.

By approving the proposal or making a payment, the client confirms that they understand and accept:

• The agreed scope of work
• Project fees and payment schedule
• Expected timelines
• Number of revisions, if applicable
• Client responsibilities
• Any third-party expenses
• These Terms and Conditions

If a separate written agreement conflicts with these general Terms, the separate written agreement will apply to that particular project.

3. Client Responsibilities

The client agrees to:

• Provide complete and accurate business information
• Supply required content, logos, images, brand guidelines, approvals, and account access on time
• Ensure that supplied materials do not infringe third-party rights
• Review and approve deliverables within the agreed timeframe
• Maintain secure access to their accounts
• Comply with advertising-platform policies and applicable laws
• Obtain permission for any personal data, mailing lists, testimonials, images, or other materials supplied to us

Project timelines may be extended if required information, access, feedback, payment, or approval is delayed by the client.

4. Payments

Service fees and payment schedules will be mentioned in the applicable quotation, proposal, or invoice.

Unless otherwise agreed in writing:

• Work may begin only after receipt of the required advance payment.
• Advance payments and fees for completed work are non-refundable.
• Remaining payments must be made according to the agreed schedule.
• Final files, website access, or ownership rights may be withheld until full payment is received.
• Work may be paused if payment becomes overdue.
• Additional work outside the agreed scope will be charged separately.

Applicable taxes, bank charges, transaction fees, or payment-gateway charges may be added where required.

5. Advertising Budgets and Third-Party Costs

Our service or management fees do not include advertising spend unless expressly stated in writing.

The client is responsible for charges relating to:

• Meta Ads
• Google Ads
• Microsoft Ads
• Website hosting and domain registration
• Premium themes and plugins
• Stock images, fonts, or licensed assets
• Email marketing or automation platforms
• Other third-party software and services

These third-party payments are subject to the terms and refund policies of the relevant provider. Shruti Growth is not responsible for changes in third-party prices, policies, availability, account restrictions, or platform decisions.

6. No Guarantee of Results

Digital marketing performance depends on several factors outside our control, including competition, market conditions, customer behaviour, budget, website quality, search-engine updates, and advertising-platform algorithms.

We do not guarantee:

• A specific number of leads, enquiries, sales, followers, or website visitors
• A particular return on advertising spend
• First-page or first-position search rankings
• Approval of advertisements or accounts by third-party platforms
• Uninterrupted website or campaign performance
• Any particular commercial or financial outcome

We will provide services using reasonable care and professional judgment, but previous results and projections do not guarantee future performance.

7. Campaign and Platform Policies

The client’s campaigns, products, services, landing pages, and content must comply with all applicable laws and platform policies.

Google, Meta, Microsoft, and other platforms may reject advertisements, restrict reach, suspend accounts, change algorithms, or modify their policies without notice.

Shruti Growth is not responsible for suspensions, rejected advertisements, loss of reach, increased advertising costs, or other actions taken by third-party platforms. We may assist with resolving such issues, but a successful resolution cannot be guaranteed.

8. Revisions and Scope Changes

The number of revisions included in a project will be specified in the proposal or service agreement.

A revision means a reasonable change to the agreed deliverable. It does not include:

• Creating a completely new concept
• Changing the original project direction
• Adding new pages, features, platforms, or services
• Recreating approved work
• Work requested after final approval

Additional revisions or changes beyond the agreed scope may require extra payment and additional time.

9. Project Timelines

Any completion date provided is an estimate unless expressly confirmed as a fixed deadline in writing.

Timelines may change due to:

• Delayed client feedback or approval
• Missing content or account access
• Additional revision requests
• Technical problems
• Third-party platform delays
• Events beyond our reasonable control

We will make reasonable efforts to communicate significant delays.

10. Approvals

The client is responsible for reviewing all content, designs, advertisements, websites, and campaign settings before final publication or launch.

Once a client approves a deliverable, Shruti Growth will not be responsible for errors, omissions, incorrect information, copyright issues, or other problems that the client could reasonably have identified during review.

11. Intellectual Property

The client retains ownership of materials they provide to us.

Unless otherwise agreed:

• Drafts, concepts, templates, methods, processes, and unused designs remain the property of Shruti Growth.
• Final custom deliverables created specifically for the client will transfer to the client only after full payment.
• Third-party assets remain subject to their original licence terms.
• Shruti Growth retains ownership of its pre-existing tools, templates, knowledge, systems, and reusable components.
• The client may not resell, copy, or distribute unpaid work or rejected concepts.

We will not display confidential client information publicly. We may include completed work in our portfolio only where the client has provided permission or where such use has been agreed.

12. Confidentiality

Both parties agree to take reasonable steps to protect confidential information received during the project.

Confidential information does not include information that:

• Is already publicly available
• Was lawfully known before disclosure
• Is independently developed
• Must be disclosed by law or a lawful authority

Clients should provide access through secure account-sharing methods wherever possible. Clients should change temporary passwords after a project is completed.

13. Cancellation and Termination

Either party may cancel or terminate a service according to the notice period stated in the proposal or service agreement.

If no notice period has been specified:

• The client may request cancellation by providing written notice.
• Fees already paid for completed, scheduled, or commenced work are non-refundable.
• The client must pay for all work completed and authorised expenses incurred up to the termination date.
• Shruti Growth may suspend or terminate services for non-payment, abusive conduct, unlawful requests, policy violations, or failure to cooperate.
• Any outstanding balance will remain payable after termination.

Ongoing advertising campaigns should not be stopped without considering active budgets, scheduled advertisements, and platform billing.

14. Refund Policy

Refund eligibility will depend on the relevant proposal or service agreement.

Unless otherwise agreed in writing, refunds will not be provided for:

• Advance payments after work has started
• Completed or approved work
• Digital files already delivered
• Time already spent on strategy, research, setup, or consultation
• Advertising spend or third-party charges
• Delays caused by the client
• Changes of mind after approval
• Results affected by third-party platforms or market conditions

If Shruti Growth cannot provide a paid service, any refund will be limited to the amount paid for the undelivered portion of that service.

15. Website Use

You agree not to:

• Use our website for unlawful or fraudulent purposes
• Attempt to access restricted systems or accounts
• Introduce malware, viruses, or harmful code
• Copy or republish website content without permission
• Interfere with the website’s security or operation
• Submit false, misleading, abusive, or harmful information

We may restrict access to the website if these Terms are violated.

16. Third-Party Links and Services

17. Limitation of Liability

To the maximum extent permitted by applicable law, Shruti Growth will not be liable for indirect, incidental, special, or consequential losses, including loss of profit, revenue, data, business opportunity, reputation, or advertising spend.

Where liability cannot legally be excluded, our total liability relating to a particular service will not exceed the amount paid to Shruti Growth for that specific service during the period giving rise to the claim.

Nothing in these Terms excludes any liability that cannot legally be excluded.

18. Indemnification

The client agrees to be responsible for claims, losses, or expenses arising from:

• Materials or information supplied by the client
• The client’s products, services, claims, or business practices
• Violation of applicable laws or platform policies
• Infringement of third-party intellectual-property or privacy rights
• Unauthorised use of completed deliverables

This section applies only to the extent permitted by applicable law.

19. Force Majeure

Shruti Growth will not be responsible for delays or failure caused by circumstances beyond reasonable control, including natural disasters, internet or electricity failures, cyber incidents, government actions, labour disruptions, illness, or third-party platform outages.
